Summary of ICA

The abbreviation “ICA” represents the Independent Contractor Agreement, a pivotal document outlining the framework of the relationship between Elite VAs and Elite VA Society. Below encapsulates a synopsis of this agreement, delineating the structural dynamics governing their affiliation.

Engagement:
  • The Company engages the Virtual Assistant (VA) as an independent contractor to provide virtual assistant services to clients as directed.
Compensation:
  • The VA shall receive compensation as per the terms outlined in the compensation agreement. The VA is eligible for paid leave under the conditions stated in the Company Handbook. The VA acknowledges that as an independent contractor, they are not entitled to benefits typically provided to employees, such as government contributions and 13th month pay, among others.

Employment Relationship:
  • The engagement of the VA by the Company does not constitute an employment relationship, and is dependent on their assignment to a client. In the event that the VA no longer has an active client assignment, the Company will evaluate whether they can be reassigned to another client. A VA without an active client assignment will not receive compensation until such an assignment is made.
Compliance:
  • The VA agrees to adhere to the guidelines and policies outlined in the Company Handbook. These guidelines may be updated without prior notice.

Confidentiality and Non-Solicitation:
  • The VA must maintain strict confidentiality of all Confidential Information and refrain from soliciting clients or employees of the Company during and after the term of this Agreement.
Non-Compete:

Indemnity:
  • The VA shall indemnify and hold the Company harmless from any claims arising from the VA’s performance or non-performance of duties under this Agreement.

Severability:
  • If any provision of this Agreement is found invalid, the remaining provisions shall remain in effect.

Entire Agreement:
  • This Agreement, along with the Compensation Agreement, constitutes the entire understanding between the Parties regarding the VA’s services and obligations.
